Terms of Service
Effective: September 2, 2026
These Terms are the agreement between FriendMachine Labs, LLC, doing business as Geod, and you for use of the Geod cloud service. They consist of two parts: the Common Paper Cloud Service Agreement Standard Terms, Version 2.1, which are incorporated by reference, and the Cover Page on this page, which supplies the Key Terms and Order Form the Standard Terms require and states Geod's changes to them. You accept these Terms by creating an account, clicking to accept them, or using the service. If we have signed a Cover Page or order form with you, that document controls where it conflicts with this page.
How to read these Terms
The Standard Terms are a free, attorney-drafted agreement published by Common Paper and used across SaaS. You can read them in full at the link above before you accept anything. This page is the Cover Page: it fills in the variables the Standard Terms leave open, such as governing law and liability caps, and adds the Geod-specific terms in the Additional Terms section. Capitalized words not defined on this page have the meaning given in the Standard Terms.
Key Terms
- Provider
- FriendMachine Labs, LLC, a Michigan limited liability company, doing business as Geod. Notices to Provider go to legal@geod.app.
- Customer
- The person or organization that accepts these Terms. If you accept on behalf of an organization, you represent that you are authorized to bind it, and “Customer” means that organization. Notices to Customer go to the email address on the account.
- Effective Date
- The date you first accept these Terms, create a Geod account, or use the Cloud Service, whichever is earliest.
- Governing Law
- The laws of the State of Michigan, without regard to its conflict-of-laws rules.
- Chosen Courts
- The state and federal courts located in the State of Michigan.
- Covered Claims
- Provider Covered Claims: any action, proceeding, or claim that the Cloud Service, when used by Customer according to the Agreement, infringes, misappropriates, or otherwise violates a third party’s intellectual property or other proprietary rights. Customer Covered Claims: any action, proceeding, or claim that Customer Content, when used according to the Agreement, infringes, misappropriates, or otherwise violates a third party’s rights, or that results from Customer’s breach of Section 2.1 (Restrictions on Customer) of the Standard Terms.
- General Cap Amount
- The greater of (a) the fees paid or payable by Customer to Provider in the twelve months immediately before the event giving rise to the claim and (b) USD $1,000.
- Increased Claims
- Breach of Section 3 (Privacy & Security) and breach of Section 10 (Confidentiality) of the Standard Terms.
- Increased Cap Amount
- Two times the General Cap Amount.
- Unlimited Claims
- Breach of Section 2.1 (Restrictions on Customer) of the Standard Terms, and either party’s indemnification obligations.
- Additional Warranties
- None. See Additional Term 1 (Analytical outputs) for what is expressly not warranted.
- DPA
- Provider processes personal data in Customer Content under a Data Processing Addendum built on the Common Paper DPA Standard Terms v1.1. A completed DPA Cover Page is available on request through the DPA page.
- Security Policy
- Provider maintains safeguards including encryption in transit and at rest, access controls, least-privilege workflows, and audit logging. A current security controls summary is available on request from legal@geod.app.
- Insurance Minimums
- None.
- Other Changes to Standard Terms
- The Geod Additional Terms below modify the Standard Terms as stated in each Additional Term.
Order Form for online plans
- Cloud Service
- Geod, network scenario software for multi-unit operators: site briefs, network scenarios for closures, conversions, and openings, exports, and the related features described on the Features page, as included in the plan Customer selects.
- Order Date
- The Effective Date for the free plan and the trial. For a paid plan, the date Customer selects and pays for the plan.
- Plans and Subscription Periods
- Site (free): no Subscription Period. Either party may end Site use at any time. Network trial: fourteen days from the creation of Customer’s organization, at no charge; it ends automatically and the organization returns to Site unless Customer purchases a paid plan. Network: a twelve-month Subscription Period billed monthly. Enterprise: as stated in a signed Cover Page.
- Cloud Service Fees
- The fees listed on the Pricing page on the Order Date for the plan and managed-location band Customer selects. Fees exclude taxes. Site is free. The Network trial is free.
- Payment Process
- Network fees are charged monthly in advance to the payment method on file through Stripe. Where Provider agrees in writing to invoice, invoices are due within fifteen days. Enterprise and Professional Services are invoiced as stated in the applicable Cover Page or order form.
- Auto-renewal
- Network renews for successive twelve-month Subscription Periods. Enterprise renews as stated in its Cover Page. Site and the trial do not renew.
- Non-Renewal Notice Date
- Thirty days before the end of the then-current Subscription Period. If Customer cancels a Network plan before the end of a Subscription Period, the monthly fees remaining in that Subscription Period become due, unless a signed Cover Page says otherwise.
- Use Limitations
- Customer may use the Cloud Service for its internal business purposes, up to the managed-location limit of its plan. Managed locations are the active first-party operating units in Customer’s modeled scope; candidates, competitors, scenario variants, historical stores, future stores, and points of interest do not count. Site is limited to one organization per Customer.
- Technical Support
- Email support at support@geod.app during Provider’s business hours. Network includes priority handling. Enterprise support is stated in its Cover Page. Site carries no support commitment.
- SLA
- None for Site and Network. Enterprise SLAs, if any, are stated in the Enterprise Cover Page.
- Professional Services
- Provided only under a signed Cover Page or order form. The Validation Run is a fixed-fee Professional Service of USD $9,000 over ninety days, with deliverables stated in its order form. The fee is credited toward the first year of a Network or Enterprise agreement signed within thirty days after the run ends.
Geod Additional Terms
These terms are part of the Cover Page and modify the Standard Terms as stated in each one.
1. Analytical outputs
Briefs, scores, trade areas, scenarios, predictions, reconciliation reports, and every other output of the Cloud Service (“Outputs”) are estimates produced by models over public data, licensed data, and Customer Content. Outputs are decision support. They are not financial, legal, real estate, or investment advice, and they are not a representation about any store’s future performance. Customer is solely responsible for any decision it makes, including decisions to open, close, convert, relocate, lease, or sell locations. Provider does not warrant the accuracy of any forecast, prediction, or score, and Outputs are excluded from the warranty in Section 6 of the Standard Terms. Registered predictions and reconciliation reports record how the model performed; they are not guarantees of future performance. This Additional Term is in addition to Section 7 (Disclaimer of Warranties) of the Standard Terms.
2. Customer Content, store sales, and model calibration
- This Additional Term replaces, for Customer Content, the sentence in Section 3 of the Standard Terms that permits use of Customer Content to develop, train, or enhance artificial intelligence or machine learning models.
- Provider will use Customer Content, including store-level sales, lease terms, and location lists, only to provide and maintain the Cloud Service for Customer. This includes calibrating model parameter sets that are scoped to Customer’s organization.
- Provider will not use Customer Content to develop, train, or calibrate models used for any other customer, and will not disclose Customer Content to any other customer.
- Provider may use Usage Data as permitted by the Standard Terms. Usage Data means data about the use and performance of the Cloud Service; it does not include store sales figures or other Customer Content.
- Provider will delete Customer Content within sixty days after termination, or sooner on written request, except for copies in routine backups that are overwritten on schedule and records that law requires Provider to keep. Frozen artifacts Customer exported before termination remain Customer’s.
3. AI-assisted features
Some features generate content with large-language-model providers acting as subprocessors under Section 3 of the Standard Terms and the DPA. As of the Effective Date these features are column mapping during import, narrative text in briefs, the in-product assistant, and the email agent. Provider uses these providers under terms that do not permit them to train their models on Customer Content. Content generated by these features is labeled in the Cloud Service where practical, is an Output under Additional Term 1, and should be reviewed by Customer before it is relied on.
4. Third-party data
Outputs incorporate data from third parties, including the U.S. Census Bureau, TIGER/Line, Foursquare Places, and Mapbox. Customer may use Outputs for its internal business purposes and may share briefs and exports with its advisors, lenders, franchisors, landlords, and prospective counterparties in connection with its own decisions. Customer may not resell or redistribute third-party data extracted from the Cloud Service, use it to build a competing dataset or product, or remove source citations from exports. Map imagery in exports is subject to the terms of the map provider named on the image.
5. Email agent
By sending email to a Geod agent address, Customer consents to Provider processing that email and its attachments to produce the requested analysis and reply. Customer is responsible for the content it forwards and for its authority to share it. Replies are Outputs under Additional Term 1.
6. Free plan and early access features
- Site is provided without charge and without any support commitment. Provider may change Site limits, or modify, suspend, or discontinue Site, on thirty days’ notice by email or in-product notice.
- Features identified as early access, beta, or in development may change or be withdrawn without notice and are excluded from the warranty in Section 6 of the Standard Terms.
7. Acceptable use
In addition to Section 2.1 (Restrictions on Customer) of the Standard Terms, Customer will not scrape or bulk-extract data from the Cloud Service other than through the export features provided, will not attempt to access another customer’s organization, and will not use the Cloud Service to build or train a competing product.
8. Publicity
Provider will not identify Customer as a customer, or use Customer’s name or logo publicly, without Customer’s written consent.
9. Changes to these Terms
Provider may update these Terms for the free plan, the trial, and monthly-billed plans on thirty days’ notice by email or in-product notice. Continued use after the new effective date is acceptance of the updated Terms. Updates do not change the terms of a signed Cover Page during its Subscription Period without Customer’s written consent. Prior versions are available from legal@geod.app.
10. Order of precedence
If these online Terms conflict with a Cover Page or order form signed by both parties, the signed document controls. If this Cover Page conflicts with the Standard Terms, this Cover Page controls, as the Standard Terms provide.
Attribution
The Common Paper Cloud Service Agreement Standard Terms, Version 2.1, are published by Common Paper under the Creative Commons Attribution 4.0 International license. The Data Processing Addendum is built on the Common Paper DPA Standard Terms, Version 1.1, published under the same license.
